Terms and Conditions of Service

These Terms and Conditions (“Terms”) govern your access to and use of the transcription, translation, and related services (the “Services”) provided by LEXUP, a platform wholly owned and operated by YV Management Sdn Bhd (“Company”, “we”, “us”, or “our”). By uploading files, creating an account, or otherwise engaging our Services, you (“Client”, “User”, or “you”) agree to be bound by these Terms.

1. Service Provision and Disclaimers

The Services, whether executed via automated software algorithms or human verification, are provided on an “AS IS” and “AS AVAILABLE” basis. While the Company employs commercially reasonable efforts to ensure accuracy, we expressly disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company does not guarantee that the Services will be 100% error-free, entirely accurate, or perfectly suited for legal, medical, or life-critical applications.

2. User Representations and Warranties

By submitting any audio, video, or text material (the “Source Content”) to the Company, you represent and warrant that:

(a) you are the sole owner of the Source Content or possess all necessary licenses, consents, and permissions to submit the Source Content for transcription and/or translation;

(b) the Source Content does not infringe upon the intellectual property, privacy, or other rights of any third party; and

(c) the Source Content does not contain material that is illegal, highly classified, defamatory, or obscene under the laws of Malaysia or your local jurisdiction.

3. Intellectual Property

The Client retains all right, title, and interest in and to the original Source Content and the resulting deliverables (the “Output”), subject to the full payment of all applicable fees. The Company retains all intellectual property rights in its software, algorithms, methodologies, platform interface, and pre-existing proprietary tools used to generate the Output.

4. Payments and Refund Policy

All fees for the Services are due and payable at the time of order submission unless otherwise agreed in writing. All transactions are subject to our strict Refund and Cancellation Policy, which is incorporated herein by reference. By accepting these Terms, you acknowledge that automated processing begins immediately and human resources are irrevocably allocated, rendering all payments final and non-refundable, subject only to the exclusive remedies detailed in the Refund Policy.

5. Confidentiality

The Company agrees to maintain the confidentiality of your Source Content and Output. We will not disclose your Source Content to any third parties except as strictly necessary to perform the Services (e.g., utilizing secure cloud infrastructure or bound independent contractors) or as required by law, subpoena, or court order.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE SERVICES. THE COMPANY’S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO THE COMPANY FOR THE SPECIFIC ORDER GIVING RISE TO THE LIABILITY.

7. Indemnification

You agree to defend, indemnify, and hold harmless the Company, YV Management Sdn Bhd, and its affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to legal fees) arising from: (a) your use of and access to the Services; (b) your violation of any term of these Terms; or (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right relating to the Source Content.

8. Force Majeure

The Company shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond its reasonable control, including, but not limited to, acts of God, internet outages, server failures, governmental actions, war, terrorism, strikes, or labor disputes.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts of Malaysia.

10. Amendments

The Company reserves the right, at its sole discretion, to modify or replace these Terms at any time. Your continued use of the Services following the posting of any changes constitutes acceptance of those changes.
